Security groups are NOT eligible for upgrade. So DL3 should be NO? https://docs.microsoft.com/en-us/office365/admin/manage/upgrade-distribution-lists?view=o365-worldwide

Correct answer is: NO-YES-NO DL1 is not eligible (because it contains another gorup and a resource mailbox as members). DL2 is eligible DL3 is not eligible, because it's a security group.

Agreed, nested groups can not be converted to O365 Groups
