Since subsidiary is always independent company, it requires separate legal entity always.

B is correct for me. I would always recommend to setup a holding company as a separate legal entity to operating companies.

i think D is more accurate he said that its a holding co. so they have to consolidate also the answer include setup for more than one legal entity so it override B
